Terms and conditions

PX Digital Studio (“PX”) is the trade name under which Santiago Palos Sánchez provides web design and development services. These terms (version of October 2, 2026) apply to every service PX provides through a Purchase Order. This is an English translation for reference; if there is any discrepancy, the Spanish version prevails.

1. Acceptance

Each project is documented in a Purchase Order with a number (for example, ORD-001) that describes the service, the price and the conditions, and states the version of these terms that applies. The client accepts the Order and these terms in either of these ways: (a) replying in writing, from the email or WhatsApp shown on the Order, that they accept it; or (b) making any payment or deposit on that Order. No separate contract is signed. If the Order and these terms differ, the Order prevails.

2. Services

  • Base Plan: Your catalog or landing page online, ready to sell through WhatsApp.
  • Pro Plan: A website on your own domain, with a refreshed brand.
  • Premium Plan (Full-Stack): Take payments online and run on your own data.
  • Website Renewal: Your current site, rebuilt with a new design and modern technology. Price depends on the number of pages and the platform it comes from.

What each plan includes is detailed on Plans and pricing and in the Purchase Order. Anything not on the Order is not included and is quoted separately. PX does not guarantee search rankings or a sales volume.

Scope of technical services. The included SEO and GEO are the technical setup of the delivered site: titles and descriptions per page, sitemap, structured data and, from the Pro Plan, files for AI assistants. They do not include campaigns, advertising, copywriting or ongoing positioning, and they do not guarantee rankings. Domain connection is the standard DNS and HTTPS setup; email on your domain, email migrations or special configurations are quoted separately. The security review covers HTTPS, security headers and the forms of the delivered site; it is not a security audit of your company. Renewals and changes after delivery are handled through Monthly Maintenance, a One-time Change or a new Order.

What the price does not include. Payment for a project covers only what is described in the Purchase Order. It does not include maintenance, ongoing support, new content, design changes after the sample is approved, or additional sections, features or integrations. Any request outside what was agreed is quoted in writing and paid before it is done. If PX handles an extra request at no cost, it is a one-time courtesy that creates no obligation to repeat it and does not change what was agreed.

Third-party integrations. Connecting the site to external services (for example payment gateways, electronic invoicing, shipping carriers, CRMs, maps, booking, messaging or artificial intelligence) is quoted separately unless the Purchase Order includes it. Accounts for those services are opened in the client's name, and their fees, commissions, plans and usage limits are paid by the client directly to the provider. PX is not responsible for price changes, outages, suspensions or changes in the terms of those services; if a provider changes its service and the site needs adjustments, they are quoted.

3. Requirements

The project is built on what the client requests in their messages and documents, which PX summarizes in writing before starting. Revisions are measured against what was requested. Audio and documents may be processed with third-party artificial intelligence tools only if the client agrees, as explained in the privacy notice.

4. Samples and watermarks

  1. By requesting a sample, the client authorizes PX to use their trade name, logo, products and images solely to prepare it and show it to them. The sample is shared through a private link, not indexed by search engines.
  2. Every sample carries PX Digital Studio watermarks and has payment features disabled.
  3. The logo in the sample is a visual demonstration. In high quality it costs $40 USD on the Base Plan and is included from the Pro Plan.
  4. The sample, its design and its code belong to PX until the client pays 100% of the project, and may not be used, copied or published before then. If the client does not accept it, PX withdraws it and deletes the client's material; their products, texts, logos and images remain theirs.

5. Prices and payments

  1. On the English site, prices are shown in US dollars at a fixed rate of 20 Mexican pesos per dollar; applicable taxes are added on the Purchase Order. Clients in Mexico are billed in Mexican pesos plus 16% VAT, with any applicable withholdings for legal entities.
  2. Clients outside Mexico. When the client resides outside Mexico and the service is used abroad, PX may apply the 0% VAT rate for exported services. To qualify, the client must prove foreign residence before the Purchase Order is issued (for example, with a foreign tax identification number and proof of address), and payment must come from abroad. Without that documentation, the corresponding VAT is charged.
  3. Base Plan and Pro Plan: no deposit; payment is due on delivery.
  4. Premium Plan and Website Renewal: 50% deposit to start development and the rest on delivery.
  5. Payment is made by bank transfer to the account shown on the Order, with its number as the reference, or online through the payment buttons on pxdigitalstudio.com, processed by Stripe. PX never receives or stores your card details. PX will never ask you to pay to another account or through a link sent from another site; if in doubt, confirm at contacto@pxdigitalstudio.com before paying.
  6. If the client pays online for a plan with a sample before receiving it and decides not to accept it, PX refunds the full payment through the same method within 10 business days.
  7. Each Purchase Order is valid for 7 calendar days.
  8. PX issues an invoice when the client requests it with their tax details.

6. Delivery times

Each plan's delivery time runs from when PX receives the complete requirements and, where applicable, the deposit. If the client takes time to send information or reply, delivery moves by the same amount of time.

7. Delivery, acceptance, revisions and warranty

  1. PX delivers each project with watermarks for review.
  2. The project includes up to 2 rounds of revisions. Each round is a list of adjustments to what was requested, sent in a single message within 5 business days of each delivery. If the client does not send it within that period, the delivery is deemed accepted. Redesigning sections or adding new features are not revisions and are quoted separately.
  3. If the client stops responding or does not provide the necessary information for 10 business days, the project is closed with the work done so far; resuming it later is subject to PX's availability and may be quoted again.
  4. Payment on delivery is due 5 business days after acceptance. If it is not received, PX may withdraw the project and, on plans with a deposit, keep the deposit as payment for the work done.
  5. For 60 calendar days after the code is released, PX fixes functional errors in what was delivered at no cost. This warranty does not cover design or content changes, or failures caused by changes made by the client or third parties.
  6. Additional or new changes are handled through Monthly Maintenance or a One-time Change.

8. Rights to the design and code

  1. Once 100% of the price is paid, PX removes the watermarks and transfers to the client, exclusively, the economic rights to the design and code developed specifically for their project, for 15 years and worldwide. The consideration for this transfer is included in the Order price. The transfer is formalized in writing through a Certificate of Transfer of Rights, signed electronically by PX and accepted by the client by email. After that term, the client keeps a free, non-exclusive and irrevocable license to continue using, modifying and publishing the site.
  2. Components, templates and tools that PX uses generally across its projects remain PX's property. The client receives a free, non-exclusive, irrevocable license, for the maximum term allowed by law, to use, modify and publish them as part of their site. PX may keep using them in other projects without including the client's content, brands or data.
  3. Open-source libraries used by the site keep their own licenses.
  4. PX may show the project in its portfolio unless the client asks in writing that it not do so.

9. Active Membership

  1. If PX publishes and keeps the site online, the Active Membership applies: $6.50 USD per month on the Base Plan and Website Renewal, and $5 USD per month on the Pro Plan. The first month is included in the Base and Pro plans. It is billed monthly in advance and has no minimum term.
  2. Monthly fees can be paid by transfer or set up with automatic card billing through Stripe. With a card, the charge is automatic on the billing date and the client can cancel or change their card at any time from the payment portal PX provides.
  3. The billing date is the same day each month on which the site was delivered. If payment is not received within 5 calendar days after the billing date, PX will send a notice to the client's email and WhatsApp and may pause the site 3 calendar days after that notice. PX reactivates it no later than the business day after receiving payment.
  4. If the balance remains unpaid for more than 60 calendar days, PX may terminate the service; before doing so, it will deliver the client's code and give them 15 calendar days to download their files.
  5. Pausing or terminating hosting does not affect the client's rights to their code.
  6. The client may pay the Active Membership a year in advance ($77.50 USD, or $59.50 USD on the Pro Plan). A paid year is non-refundable unless PX stops providing the service for reasons attributable to PX.

Managed services included in the Active Membership

  1. The Active Membership includes site hosting and up to 2 managed services in PX accounts, such as a database or email sending, under standard usage: the normal volume of a small or medium business. Additional services, or usage above the provider's limits, are quoted separately before being activated.
  2. The Membership covers keeping the site and those services online, secure and working. It does not include content changes or new features: those belong to Monthly Maintenance or a One-time Change.
  3. If the Membership is not paid, the notice and pause in this section apply, and PX may deactivate the managed services. Before deleting them, PX gives the client an export of their data and 15 calendar days to download it.
  4. The site's code is always handed over to the client at the end of the project, because it is theirs. If the client prefers, they can keep the database or email sending in their own account and pay the provider directly.
  5. Domain: registration and annual renewal are paid by the client at the provider's cost. If PX buys the domain in the client's name, it charges the same price every year, in advance; if the renewal is not paid, the domain may expire.

10. Maintenance

  1. Monthly Maintenance costs $40 USD per month and includes up to 8 changes per month, with a response within 1 business day.
  2. A change is a request about something that already exists on the site: updating prices on a list, adding up to 5 new products, changing a photo, a text or a color. New sections, pages, features or integrations are not maintenance; they are quoted separately. Unused changes do not roll over.
  3. A One-time Change costs $50 USD for a batch of changes delivered at once, with no minimum term.
  4. The Premium Plan includes the Active Membership and Monthly Maintenance for 6 months from delivery. At least 30 days before it expires, PX will email the renewal rate. If the client does not accept it, the service ends when the term expires, with no penalty, and PX hands over their code.

11. Client accounts and credentials

  1. Domain, database, payment platforms (Stripe, Mercado Pago or others) and similar services are contracted in the client's name and with their own payment method. Online payment methods can be added from the Pro Plan ($50 USD per platform). The Premium Plan includes a payment button with the link of the client's own account and bank transfer details; checkout integrated into the cart is charged as an online payment method.
  2. Money from the client's sales goes directly to their account; PX never receives it.
  3. The client shares credentials through a secure channel, never by chat. PX uses them only to set up the service, and the client can change them at any time.
  4. PX does not keep access to the client's database or payment keys after delivery, except as needed for the contracted Active Membership or Maintenance.
  5. If the client wants everything in their name and doesn't have the accounts, PX may, on request and without being obliged to, create them with the client's email (for example GitHub, hosting or domain) and a temporary password the client must change upon receipt. From the moment the client receives the accounts, their custody, security and payments are the client's responsibility, and PX is not liable for anything that happens in them.

12. Content and data

  1. The client is responsible for the information, prices, images and logos they provide, and for having the right to use them.
  2. If their site collects personal data from their own customers, the client is responsible for that data and must have their own privacy notice. From the Pro Plan, PX provides a draft privacy notice and cookie policy, and on the Premium Plan a draft of terms of sale; these are reference models the client must review and adapt, and they do not replace legal advice.
  3. When PX hosts or maintains the site, it processes the data of the client's customers only on the client's behalf, to provide the service, with reasonable security measures, and does not use it for its own purposes. When the service ends, it hands the data to the client or deletes it.

13. Liability

  1. PX delivers the site working as described in the Purchase Order.
  2. PX is not liable for failures or changes in third-party services (hosting, domain, gateways, WhatsApp, search engines) not attributable to it, nor for how the client uses the site.
  3. Except in cases of fraud or gross negligence, and to the extent permitted by law, PX's total liability is limited to the amount paid for the project or, for monthly services, the amount paid in the last 12 months. PX is not liable for lost sales or profits.
  4. Neither party is liable for delays caused by force majeure, including general outages of internet or hosting providers. Deadlines move by the duration of the impediment.

14. Cancellations

  1. On plans without a deposit, the client may decline the sample at no cost.
  2. On plans with a deposit: (a) if the client cancels before PX presents the first progress update, PX refunds 50% of the deposit; (b) if they cancel afterwards, the deposit covers the work done and is non-refundable.
  3. If PX does not deliver within the Order's term plus 10 business days, for reasons not attributable to the client, the client may cancel and PX refunds the full deposit within 10 business days.
  4. Monthly services have no minimum term. They are cancelled with notice by email or WhatsApp before the next billing date, with no penalty; the service continues until the end of the paid month.
  5. Leaving with your site. If the client cancels the Active Membership or Maintenance and wants to continue with their site on their own, with the project fully paid: (a) within 5 business days PX hands over the code, transferring the repository to their GitHub account or as a .zip file, with instructions to publish it; (b) if PX manages the domain, it provides the authorization code to transfer it; (c) if the site has data, it is delivered in a common format; (d) the site is shut down on PX's servers at the end of the paid month, and PX keeps a copy for 15 more calendar days before deleting it.

15. Termination of service

  1. By accepting a Purchase Order or making any payment, the client accepts these terms in full, including the scope limits in section 2.
  2. The no-commitment sample applies only before it is approved. Once the sample or the delivery is accepted and payment is made, the project is contracted and completed as agreed.
  3. If the client decides not to continue once work has started, PX terminates the service. Amounts paid correspond to work already done and are non-refundable, except in the cases expressly set out in section 14.
  4. PX may terminate the service if the client demands work outside what was agreed without paying for it, fails to pay, or addresses PX offensively. In that case PX delivers what has already been paid for and, if the site is hosted with PX, section 14 applies for leaving with the site.

16. Notices and changes to these terms

  1. Notices between the parties are given in writing to the email shown on the Order and take effect on the day they are sent. Any change of email must be notified the same way.
  2. PX may update these terms. Each Order is subject to the version stated on it. For monthly services, changes apply 30 days after being notified by email; if the client does not accept them, they may cancel without penalty.
  3. If any clause is found invalid, the rest remain in force.

17. Governing law

These terms are governed by the federal laws of the United Mexican States. In the event of a dispute, the parties will first seek a direct settlement for 15 calendar days. This does not limit any rights the law grants the client as a consumer.
